Terms of Service
Part A: Using our website
1. About these terms
These Terms of Service (“Terms”) are an agreement between Sigma Z Line for AI & Software Development (“Sigma Z Line”, “we”, “us”) and anyone who uses our website or our services (“you”, or the “Client” when you engage us for a project).
Part A applies to everyone who uses www.sigmaz-line.com or contacts us. Part B applies when you engage us for a project. By using the website or our services you accept these Terms. If you do not agree, please do not use them.
2. Using our website
- Use the website lawfully. Do not try to disrupt it, gain unauthorised access, probe it for vulnerabilities, scrape it at scale, or send spam or harmful content through our forms.
- The content is general information about our company and services. It is not a binding offer. Project descriptions and figures in our portfolio are illustrative.
- The website’s content, logo, design and code belong to Sigma Z Line or its licensors. Please do not copy or reuse them without our written permission.
- Links to other websites (such as our products, our clients’ sites or Google Maps) are provided for convenience. We are not responsible for their content or practices.
- We work to keep the website accurate and available, but it is provided “as is” and we cannot guarantee it will always be error-free or uninterrupted.
3. Enquiries, free consultations and quotes
- Sending us an enquiry and booking a consultation is free and creates no obligation for either side.
- We aim to reply within one business day. This is a target, not a guarantee.
- Any price or timeline mentioned during an enquiry or consultation is an indicative estimate. A binding price is only given in a written proposal or SOW, which is valid for 30 days unless it says otherwise.
- We treat the ideas and information you share with us as confidential, even before a formal NDA is signed.
- By contacting us, you agree that we may reply about your enquiry through the channel you used (WhatsApp, phone or email). We will not add you to marketing messages without your consent.
- We may decline any project at our discretion.
How we handle the details you send us is explained in our Privacy Policy.
Part B: Project engagements
4. Project agreements
Each project is governed by a signed proposal, SOW or contract together with these Terms. If they conflict, the signed document takes precedence.
5. Our services
Depending on the agreed scope, our services may include:
- Custom software: web platforms, dashboards, internal systems, ERPs and mobile applications (iOS, Android and cross-platform).
- Applied AI: Arabic OCR and document processing, custom language models and assistants, computer vision, and automation.
- Cloud and DevOps: hosting architecture, deployment pipelines, monitoring and performance tuning.
- Support and maintenance under a separate maintenance agreement.
6. Client responsibilities
To keep the project on schedule, the Client agrees to:
- provide accurate requirements, content, test data and decisions on time;
- provide the access (accounts, APIs, staging environments or hardware) needed for integration;
- review each delivered milestone and send consolidated feedback within 10 business days; if no feedback is received in that time, the milestone is considered accepted;
- confirm that any materials, branding and data it provides do not infringe anyone else’s rights, and that it has a lawful basis to share any personal data with us.
Delays in the Client’s responsibilities may move the timeline accordingly.
7. Fees, payment and taxes
- Milestones: projects are invoiced according to the milestones set out in the SOW (for example discovery, development sprints and launch).
- Payment terms: invoices are due within 14 calendar days by bank transfer or another agreed method, in the currency stated in the SOW.
- Taxes: prices exclude VAT and other applicable taxes unless stated otherwise.
- Late payment: if an invoice is overdue, we may pause work after giving written notice until it is paid.
- Change requests: work outside the approved scope is quoted separately as a change request, with its effect on cost and timeline agreed in writing before it starts.
8. Intellectual property
8.1 What you own
Once all project invoices are paid in full, the Client owns the custom source code, designs and documentation created specifically for it under the SOW.
8.2 What we keep
We keep ownership of our pre-existing tools, libraries, frameworks and know-how (“Background IP”). Where Background IP is part of a delivered system, the Client receives a perpetual, royalty-free, non-exclusive licence to use it as part of that system.
8.3 Third-party and open-source components
Third-party services and open-source components stay under their own licences and terms, which we will point out where relevant.
8.4 Portfolio
Unless the Client asks us not to in writing, we may mention the Client’s name and logo and a general description of the project in our portfolio and marketing. We never disclose confidential details.
9. Warranty and support
Every delivered system includes a 60-day warranty starting on the production launch date. During this period we fix, at no extra charge, any reproducible defect where the software does not work as agreed in the SOW.
The warranty does not cover issues caused by changes made by anyone other than us, by third-party services or APIs, by hosting we do not manage, or requests for new features. Ongoing support and maintenance are available under a separate agreement.
10. Confidentiality
Both parties will keep each other’s confidential information (including business plans, system designs, data, source code and financial information) confidential, and will only use it for the project. Neither party will disclose it to third parties without prior written permission, except to advisers or subcontractors bound by similar obligations, or where the law requires. These obligations continue for 5 years after the project ends.
11. Personal data in client projects
When we process personal data on the Client’s behalf (for example, the Client’s users in a system we build or host), the Client is the data controller and we act as its processor. We will process that data only on the Client’s documented instructions, keep it confidential and secure, and help the Client respond to data subject requests and comply with applicable law, including Egyptian Law No. 151 of 2020. Where required, the details are set out in a separate data processing agreement.
12. Limitation of liability
To the extent permitted by law, neither party is liable for indirect or consequential losses, including loss of profit, revenue, data or business opportunity. Our total liability under any project is limited to the fees the Client paid us under the relevant SOW in the 6 months before the claim.
Nothing in these Terms limits liability for fraud, gross negligence or anything else that cannot be limited by law.
13. Termination
- For convenience: either party may end an SOW with 30 days’ written notice. The Client pays for work completed up to the end date.
- For cause: either party may end an SOW immediately if the other seriously breaches these Terms and does not fix the breach within 14 days of written notice, or becomes insolvent.
- On termination, the Client receives the work it has paid for, and each party returns or deletes the other’s confidential information.
14. Events beyond our control
Neither party is responsible for delays or failures caused by events beyond its reasonable control, such as natural disasters, power or internet outages, government action, war or pandemics. The affected party will notify the other promptly and resume work as soon as possible.
15. Governing law and disputes
These Terms are governed by the laws of the Arab Republic of Egypt. If a dispute arises, both parties will first try in good faith to resolve it through negotiation for 30 days. If it is not resolved, the competent courts of Giza and Cairo, Egypt, have exclusive jurisdiction.
16. Changes to these terms
We may update these Terms from time to time. The date at the top shows the latest version. Signed SOWs continue under the version in force when they were signed, unless both parties agree otherwise.
