Terms of Service
1. Acceptance of Terms & Master Governance
These Terms of Service ("Terms") constitute a legally binding master agreement between Sigma Z Line for AI & Software Development ("Sigma Z Line", "Company", "we", "us") and any individual, enterprise, or corporate entity ("Client", "User", "you") accessing our services, software products, or commissioning custom engineering engagements.
By browsing our platforms, issuing project proposals, or signing a Statement of Work (SOW), you agree to be bound by these Terms and the applicable commercial laws of Egypt and the GCC.
2. Scope of Engineering & AI Services
Sigma Z Line delivers specialized high-tier engineering services across three core verticals:
- Custom Software Engineering: Distributed backend microservices, real-time WebSocket systems, high-performance WebGL interactive frontends, enterprise ERPs, and mobile applications (React Native, iOS, Android).
- Applied Artificial Intelligence: Proprietary Arabic OCR pipelines, custom fine-tuned Large Language Models (LLMs), computer vision models, and decision-support algorithms.
- Enterprise Cloud Architecture: Multi-cloud high-availability deployments, serverless cluster orchestration, database tuning (PostgreSQL, Redis), and automated DevOps CI/CD pipelines.
3. Client Responsibilities & Governance
To ensure project milestones and performance standards are met, the Client agrees to:
- Furnish precise technical specifications, test datasets, and functional dependencies in a timely manner.
- Provide authorized API access credentials, staging environments, or hardware gateways required for system integration.
- Conduct User Acceptance Testing (UAT) and deliver structured feedback within 10 business days of milestone completion.
- Warrant that all client-supplied assets, branding, and proprietary datasets do not violate any third-party intellectual property or confidentiality covenants.
4. Intellectual Property Rights & Ownership
4.1 Client Deliverable Ownership
Upon final settlement of contract invoices, the Client receives full, exclusive ownership of the custom application source code, bespoke frontend UI designs, and dedicated project documentation created under the specific SOW.
4.2 Background IP & Sigma Core Frameworks
Sigma Z Line retains all proprietary rights, title, and interest in its pre-existing core architectural modules, boilerplate engines, shader libraries, base neural network architectures, and development toolkits ("Background IP"). Clients receive a perpetual, irrevocable, royalty-free, worldwide license to utilize Background IP solely within the delivered software.
5. Commercial Terms, Payments & Milestones
- Milestone Invoicing: Engagements proceed according to agreed phase milestones (e.g., Discovery & Architecture, Sprint Delivery, Production UAT).
- Payment Schedules: Invoices are payable within 14 calendar days of issuance via bank wire transfer or authorized institutional payment gateways.
- Scope Modifications: Features or changes beyond the approved SOW are evaluated under structured Change Order Requests (COR) with adjusted timelines and fees.
6. Enterprise Quality Assurance & 60-Day Warranty
Sigma Z Line subjects all code to automated unit testing, end-to-end integration testing, and cross-browser stress benchmarks.
All delivered software includes a 60-Day Post-Launch Warranty commencing upon production deployment. During this warranty period, Sigma Z Line resolves any reproducible software bugs or unexpected performance degradation at zero additional charge. Extended Level 2/3 maintenance SLAs are available under separate annual contracts.
7. Confidentiality & Non-Disclosure (NDA)
Both parties agree to treat all business plans, system architectures, database schemas, algorithms, and financial data as strictly confidential. Neither party shall disclose Confidential Information to third parties without prior written authorization. Obligations of confidentiality survive for a period of 5 years following project completion.
8. Limitation of Liability & Indemnification
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, or consequential damages (including loss of profits or business interruption). Sigma Z Line's total aggregate liability arising out of or related to any engagement shall not exceed the total fees paid by Client under the applicable SOW in the 6 months preceding the claim.
9. Termination Procedures
- Termination for Convenience: Either party may terminate an ongoing SOW by providing 30 days written notice. Client will be billed on a pro-rata basis for verified work completed up to the termination date.
- Termination for Cause: Immediate termination applies upon material breach of these Terms if not cured within 14 days of written notice, or upon insolvency.
10. Governing Law, Mediation & Jurisdiction
These Terms and any dispute arising from them shall be governed by and construed in accordance with the Commercial Laws of the Arab Republic of Egypt, with due regard to regional GCC commercial guidelines.
In the event of a dispute, both parties commit to an initial 30-day good-faith executive mediation. If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the competent commercial courts in Giza/Cairo, Egypt.
